Terms of Service

1. Acceptance

By creating an account or using PayRail ("the Service"), you agree to these Terms. If you do not agree, do not use the Service. You must be at least 18 years old and able to form a binding contract.

2. What PayRail Is

PayRail is software that lets you instruct an AI agent to make purchases and pay bills on your behalf, and to price and find deals on goods and services. PayRail is non-custodial software: it orchestrates payments made with your own payment instruments (your card, wallet, or connected accounts). Rip It Labs is not a bank, money transmitter, broker, or payment processor, and does not take custody of your funds.

3. Your Authorization & Responsibility

When you confirm an action, you authorize the agent to carry out that specific purchase or payment within the spending limits you set. You are responsible for the instructions you give, the limits you configure, the accuracy of delivery/biller details, and all transactions the agent completes on your behalf. Review each order before confirming. Automated actions are performed as your agent and are attributable to you.

4. Accounts & Security

You are responsible for safeguarding your login credentials and any connected wallets, cards, or API keys. Notify us promptly of any unauthorized use. We may suspend accounts for suspected fraud, abuse, or violation of these Terms.

5. Subscriptions, Payments & Fees

Paid tiers are billed as recurring subscriptions through our payment processor (Stripe). Card details are collected and stored by Stripe; PayRail does not store your full card number. Subscriptions renew automatically until canceled; you may cancel at any time and retain access through the end of the paid period. Fees are non-refundable except where required by law. Prices may change with notice.

6. Third-Party Services & Merchants

The Service interacts with third parties (payment processors, merchants, billers, blockchains, and AI providers). Purchases and payments are subject to the terms and pricing of those third parties. We do not control and are not responsible for third-party products, availability, pricing, fulfillment, or policies.

7. Blockchain & Digital Assets

Certain actions are recorded ("proof-anchored") on public blockchains and may involve stablecoins or other digital assets. Blockchain transactions are generally irreversible, may be publicly visible, and can be subject to network fees and volatility. You accept these risks. On-chain records are permanent and cannot be deleted.

8. Acceptable Use

You may not use the Service for anything unlawful, fraudulent, or infringing; to purchase prohibited or age-restricted goods in violation of law; to circumvent spending controls or another person's authorization; or to abuse, overload, or reverse-engineer the Service.

9. No Warranty

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the Service, AI outputs, prices, deal-finding, or fulfillment will be error-free, uninterrupted, or accurate.

10. Limitation of Liability

To the maximum extent permitted by law, Rip It Labs is not liable for indirect, incidental, special, or consequential damages, or for losses arising from transactions the agent completes on your instruction, third-party services, or blockchain activity. Our aggregate liability will not exceed the amount you paid us in the three months before the claim.

11. Indemnification

You agree to indemnify and hold Rip It Labs harmless from claims arising out of your use of the Service, your instructions to the agent, or your violation of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service or its users.

13. Changes

We may update these Terms. Material changes will be posted here with a new effective date; continued use constitutes acceptance.

14. Governing Law & Contact

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-laws rules. Questions: [email protected].
